These Terms and Conditions ("Terms") govern your access to and use of the website nedoorezov.com ("Website") and the marketing services ("Services") provided by IP Whatsacc, operating under the trade name SEO Dashboard ("Company", "we", "us", or "our"). The Services include, without limitation, local search engine optimization, social media management, content production, and YouTube channel management for local service businesses in the United States.
By accessing or using the Services, you ("Client", "you") agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Services.

The exact scope of services for each engagement is specified in a separate written agreement, proposal, or statement of work between you and us. In case of conflict between these Terms and a written engagement document, the engagement document controls.
You must be at least 18 years of age and authorized to enter into binding contracts on behalf of the business you represent. By using the Services, you represent and warrant that you meet these requirements.

Fees, payment schedule, and currency are specified in the written engagement document for each Client. Unless otherwise agreed, invoices are due within the period stated on the invoice. Late or unpaid invoices may result in suspension of the Services.
The engagement term is specified in the written engagement document. Either party may terminate the engagement with the notice period set out there, or immediately for material breach. On termination, we will hand off control of the assets we operate on your behalf (websites, social profiles, YouTube channel) to a destination you designate, subject to payment of any outstanding fees.

You retain ownership of materials you provide to us (brand assets, photos, scripts, business data) and of the websites and accounts we operate on your behalf. On full payment of fees due, you receive a license to use any deliverables created specifically for you under the engagement, perpetual and irrevocable for the purpose of operating your business.
We retain ownership of the proprietary tooling, templates, methodologies, and infrastructure used to deliver the Services. Nothing in these Terms transfers ownership of those to you.
Each party will treat as confidential any non-public business or technical information disclosed by the other in connection with the Services, and will use such information only to perform under the engagement. This obligation survives termination.
Our handling of personal data is described in the Privacy Policy. By using the Services, you also agree to the Privacy Policy.
The Services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant any specific business outcome, search ranking, traffic level, or revenue result.
To the fullest extent permitted by law, IP Whatsacc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with the Services. Our total aggregate liability for any claim arising from the Services shall not exceed the fees paid by you to us in the three (3) months preceding the event giving rise to the claim.
You will indemnify, defend, and hold harmless IP Whatsacc and its personnel from claims, liabilities, damages, losses, and expenses arising out of (a) your breach of these Terms, (b) content or instructions you provide to us, or (c) your violation of any third-party platform's terms.
We may modify these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Services after changes constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the Republic of Kazakhstan. Any dispute arising from or in connection with these Terms will be resolved in the competent courts of Pavlodar, Republic of Kazakhstan, unless a different jurisdiction is required by mandatory law applicable to the engagement.
If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force.
